VANCOUVER – NovaGold Resources Inc. has signed a deal to acquire the 40 per cent stake in Donlin Gold it does not already hold from Paulson Advisers LLC in an all-stock deal.
The company says the agreement will create a new company valued at about US$4.2 billion.
The Donlin gold project is in Alaska and includes about 40 million ounces of gold in measured and indicated mineral resources.
Under the agreement, Paulson will receive a 35 per cent stake in the new company, NovaGold Corp., in exchange for its stake in Donlin Gold.
Current NovaGold shareholders, which include Paulson, will hold a 65 per cent stake in the new company.
Once the deal is complete, Paulson will hold about 40 per cent of the new NovaGold, but its voting interest will be capped at 19.99 per cent.
