MONTREAL – WSP Global Inc. has made a takeover offer for Dutch engineering company Arcadis N.V. that values it at about C$7.5 billion.
The indicative non-binding proposal by the Montreal-based company is for 51.50 euros per share. The bid is up from an earlier offer of 48.50 euros per share that Arcadis rejected.
Under the revised offer, Arcadis shareholders would have the ability to elect to receive their payment in cash or WSP shares, subject to pro-ration. WSP says its offer would be approximately half cash and half WSP shares overall.
Arcadis said it’s reviewing the offer in accordance with its fiduciary responsibilities and in the interests of all shareholders and stakeholders. In rejecting the earlier offer, it said the proposal also did not address concerns around strategic fit, cultural fit, deal certainty and other stakeholders’ interests.
WSP says the combination would unite two highly complementary firms and create a global champion with expanded presence in North America, the United Kingdom, Australia and Central Europe.
The company cautioned that a definitive agreement has not been signed and that any potential transaction remains subject to an agreement on terms.
